Welcome to the DlxAi automated marketing system (the "Service"). Please read these Terms carefully before using the Service; by using it you agree to these Terms.
The Service is operated by Louis Zhong as an individual (Louis Ai Studio), based in Houston, Texas, USA.
1. What the Service Provides
The Service gives you a hosted marketing and membership operations system, including but not limited to: websites and landing pages, sales funnels, email marketing, membership communities, online courses, e-commerce and subscriptions, analytics, and AI operations tools.
Every plan (including the Free plan) comes with the AI Supers App: you and the AI you connect collaborate in the same group chat, with member, AI, and group limits set by your plan. AI Supers App's annual edition can also be purchased separately, and supports paying in RMB (WeChat Pay / Alipay) for one year at a time — a one-time payment that does not auto-renew.
Each site has its own independent database; your business data is physically isolated from other users' data.
2. Account and Site
- One account can open one free site, which you may use free of charge for the long term, with no payment method required.
- You are responsible for everything that happens under your account, and for keeping your login credentials secure.
- You may connect your own domain. You are responsible for the domain's ownership and renewal; we handle certificate issuance and renewal.
3. Your Data
- Your data belongs to you. We will not use your business data for any purpose outside operating the Service, and will not sell it or share it with third parties (except where required by law or expressly authorized by you).
- You may export all of your data at any time.
- For the end-customer data you process within the Service, you act as the data controller and bear the corresponding compliance responsibility (including obtaining any necessary consent).
4. Acceptable Use
When using the Service, you must not:
- Send unsolicited spam email to recipients who have not consented;
- Publish illegal, infringing, fraudulent or misleading content;
- Engage in phishing, malware distribution, or other activity that endangers network security;
- Attempt to circumvent usage limits, interfere with the Service's stability, or access other users' data.
If you violate any of the above, we may suspend or terminate your site after notice; in serious cases, or where unlawful activity is involved, we may act without prior notice.
Prohibited content: Your site may not publish, sell, or promote pornography, gambling, drugs, or any other content or services that violate applicable laws and regulations. If we discover such content, we may disable or close the site immediately without prior notice, and any fees already paid will not be refunded; in serious cases we will cooperate with the relevant authorities. You must agree to this clause when opening a site.
Automated safety checks: To protect the platform and our users, we use automated systems to check content and activity in AI Supers App for safety; if content that violates applicable laws or these Terms is found, we may restrict related features, suspend the account, and report to the relevant authorities where required by law.
5. Billing and the Free Plan
- The Free plan is free for the long term, with no card required, and your site will not be suspended because of an "expiration." The Free plan does not include a custom domain; you can upgrade to a paid plan at any time for more features.
- No plan includes platform AI compute (including the admin AI assistant): AI features use your own AI key, with no usage limit once it is added; usage fees are paid directly to the model provider.
- Paid plans come in three tiers — Standard / Professional / Business — billed monthly or annually. Annual billing charges only 10 months' worth; the longest single purchase is one year, and we do not offer multi-year price locks.
- In addition to card subscriptions (which auto-renew), you may also pay via Alipay for one month or one year: a one-time payment that does not auto-renew; if you don't renew, it drops back to the Free plan, and your data is not deleted.
- You may upgrade or downgrade at any time; for card subscriptions, the price difference on upgrade or downgrade is calculated automatically by our payment processor (Stripe) based on the remaining period.
- Prices we display are in US dollars, tax excluded. If your region requires tax to be withheld, it will be shown separately at checkout.
6. Auto-Renewal and Cancellation
- Card subscriptions auto-renew (one-time Alipay payments do not auto-renew — see Section 5): monthly subscriptions are charged on the same date each month, and annual subscriptions on the same date each year, until you cancel. Charges are initiated by Stripe using your saved payment method.
- Every time a charge succeeds, we send a receipt to your account email, stating the plan, the amount charged, and the next billing date, along with a link to the invoice.
- You may cancel yourself at any time: in your site's admin area, go to "Plan / Upgrade" and click "Cancel subscription"; to change cards or view invoices, click "Change plan / card / view invoices." After cancelling, fees already paid for the current period are non-refundable, but the Service is unaffected until the current period ends; after that it automatically drops back to the Free plan, and no data is deleted; features beyond the Free plan (such as a custom domain) are disabled, and are restored as soon as you resubscribe.
- After cancelling, both our billing page and Stripe will show the Service's end date; you may undo the cancellation at any time before then.
- A failed charge (expired card, insufficient funds, etc.) does not immediately suspend your site: we provide a 7-day grace period and notify you to update your payment method. If it still has not succeeded after the grace period, the site is suspended, with data retained.
- Promotional discount codes each have their own availability window and terms, as shown at checkout. Once a discount code stops being offered, subscriptions already enjoying that discount are unaffected.
7. Refunds
See the full rules in our Refund Policy, which governs. In short:
- The Free plan is free, so there is nothing to refund. You can use the Free plan to decide whether this system is right for you before upgrading.
- Subscription fees are generally non-refundable (after cancelling, you can still use the Service normally through the end of the current period).
- We will issue a refund in these cases: duplicate charges or billing errors (the overcharged amount is refunded in full); a major outage we fail to fix within a reasonable time (refunded in proportion to the affected duration); within 7 days of a renewal, if that period was never actually used (no logins, no sends, no new data — you may request a full refund of that period's fee).
- If your account is suspended or terminated for violating these Terms, fees already paid are not refunded.
- To request a refund: email support@dlxai.ai with your account email, site address, and the details; we will reply within 3 business days. Refunds are returned via the original payment method.
- ⚠️ Please keep these two kinds of money separate: the above applies only to the subscription fee you pay us. Payments your buyers make on your own site go directly to your own payment account (your Stripe / PayPal merchant account) — we never touch that money and take no cut of it, so the refund policy and handling for that money is entirely up to you and your own responsibility, and is outside the scope of these Terms.
8. Service Availability
We work to keep the Service available, but we do not promise it will never be interrupted. Planned maintenance will be announced in advance. We are not liable for interruptions caused by force majeure or third-party infrastructure failures, but we will do our best to restore service and keep you informed of progress.
9. Third-Party Services
You may connect your own third-party accounts within the Service (such as Stripe for payments, email sending services, or Google sign-in). Use of those services is governed by their own terms, and any fees or compliance obligations they create are your responsibility.
10. Limitation of Liability
To the maximum extent permitted by law, our total liability for indirect losses, lost profits, or lost data will not exceed the fees you actually paid us in the 12 months before the dispute arose.
11. Changes to These Terms
If we make a material change to these Terms, we will notify you by email or in the admin area, with reasonable advance notice before it takes effect. Continued use of the Service means you accept the changes.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, USA. If a dispute arises, please first contact support@dlxai.ai so we can try to resolve it through negotiation; if it cannot be resolved that way, it shall be submitted to a court of competent jurisdiction where the operator is located (Harris County, Texas).
